Toray Advanced Materials Korea has signed an agreement to acquire Hanmi Entech, a specialist in operations and maintenance (O&M) of water and wastewater treatment facilities. The transaction value was not disclosed, and closing is expected within the first half of 2023. For Toray Advanced Materials Korea, this marks its first water-sector M&A in roughly a decade — since the 2013 acquisition of Woongjin Chemical.

Why this matters

The crux of the deal is a shift from materials into operations. Toray Advanced Materials Korea has long carried a filtration lineup spanning reverse osmosis (RO) membranes, microfilters, ultrafilters and nanofilters, but the downstream task of actually running and maintaining facilities was outsourced. Folding in Hanmi Entech completes a vertically integrated model in which filter supply and on-site O&M sit under one roof.

Strategic context

Founded in 1978, Hanmi Entech is a 45-year-old O&M specialist for water and wastewater facilities. It runs outsourced operations on a nationwide footprint and was designated the Ministry of Environment’s top-rated outsourced operator in 2021, a market validation of its operating capability. Industry watchers regard it as the longest-running player in the segment.

Toray Advanced Materials Korea’s prior water deal — the 2013 Woongjin Chemical acquisition — was about securing materials technology. A decade on, this transaction extends that technology into the question of who runs it and how.

The company says the combined business will “recycle treated effluent into industrial and agricultural water and improve water quality, contributing to efficient operation of water resources,” while extending its scope to environmental upgrades at treatment sites — odor abatement and expansion of above-ground green space among them.

What’s next

Two things will be worth watching after closing. First, the speed of cross-selling between Toray’s membrane lineup and Hanmi Entech’s portfolio of outsourced operating sites. Second, how bid competitiveness shifts as an integrated solutions provider, given an expanding pipeline of public procurement around water reuse and recycling. Korea’s water-treatment market has historically been split between materials suppliers and O&M operators; whether this deal marks the start of consolidation or remains a one-off will set the tone for follow-on M&A in the sector.
